1. Agreement to Terms

By accessing or using the Kusini Labs platform, website, and services (collectively, the “Services”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the Services.

2. Description of Services

Kusini Lab, Ltd. (“Kusini Labs,” “we,” “us”) provides a commodity traceability platform that enables exporters, buyers, regulators, and hub managers to document, verify, and track agricultural commodity batches from farm to destination. Our Services include HubDesk, TradeDesk, VerifyPortal, and RegulatorView.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials.

5. Data Integrity and Hashing

Kusini Labs hashes batch event data to create tamper-proof records. Once an event is hashed, it cannot be altered, deleted, or backdated. You acknowledge that data submitted to the platform is subject to this immutable hashing process and that you are responsible for the accuracy of data you submit.

6. Acceptable Use

You agree not to:

• Submit false, misleading, or fraudulent data to the platform
• Attempt to reverse-engineer, decompile, or disassemble any part of the Services
• Use the Services to violate any applicable law or regulation
• Interfere with or disrupt the integrity or performance of the Services
• Access the Services through automated means without our prior written consent

7. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are owned by Kusini Lab, Ltd. and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Kusini Lab, Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

9. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
